Humanoid Developer Agility Expects $465M SPAC Deal
Humanoid robotics developer Agility Robotics and Churchill Capital Corp XI have announced that they expect to raise approximately $465 million through their proposed business combination, down from earlier estimates.

Updated SPAC Capital Raise Details
Humanoid robotics developers continue to secure substantial funding rounds. Agility Robotics Inc. and Churchill Capital Corp XI announced that they now expect the humanoid developer to raise about $465 million through their proposed merger with the special-purpose acquisition company, or SPAC.
According to Agility, the revised gross capital raise consists of approximately $164 million from Churchill XI’s trust account, roughly $201 million from a common stock PIPE committed at $10 per share led by Foxconn with participation from both new and existing institutional investors, and $100 million in equity funding already received following the initial business combination announcement.
This total is $155 million less than the $620 million that Agility initially predicted at a $2.5 billion valuation when it first announced the planned business combination in June. The Robot Report reached out to the company for comment regarding the adjustment.
Market Entry and Expected Timeline
The Salem, Oregon-based company stated that Agility is expected to enter the public markets well capitalized to execute its planned investments in commercial expansion and support growing customer demand. The SPAC transaction is expected to close on Nov. 4, subject to shareholder approval and customary closing conditions.
The company has claimed that upon completion it will become the first U.S. publicly traded, pure-play humanoid supplier with commercial deployments. Agility investors include major entities such as NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC, and Playground Global. All existing shareholders will roll their equity into the combined company and will be subject to a 180-day lock-up period at closing.
Digit 5 Development and Customer Deployments
Agility recently unveiled its Digit 5 humanoid, which features redesigned legs and new batteries designed for commercial use. The platform is built to work safely alongside people and support a range of workflows. Jonathan Hurst, co-founder and chief robot officer, and Pras Velagapudi, chief technology officer at the company, discussed recent humanoid advances at RoboBusiness 2026.
Alongside updates to its legs, Agility is exploring wheeled configurations for its robots. The company also selected Nyobolt this month for fast recharging capabilities, which it states will allow its robots to operate for more than 20 hours a day.
Commercial Momentum and Financial Outlook
Agility reported that it remains on track to begin deliveries to early-access customers in the first half of 2027, with general availability targeted for the end of 2027. The company also stated that it has secured more than $300 million in committed multi-year orders for Digit 5.
In a September S-4 statement filed with the U.S. Securities and Exchange Commission, Agility reported $1.8 million in net sales for 2025. Its current customer base spans nine sites and includes prominent brands such as Toyota, Mercado Libre, and Schaeffler. Furthermore, AGCO announced plans to deploy Digit in its Kansas agricultural machinery factory, and Agility expanded its partnership with GXO Logistics to implement humanoids in North Carolina and Tennessee.
