Agility Robotics Shareholders Approve $2.5B SPAC Merger
Shareholders have voted to approve a $2.5 billion SPAC merger, bringing the humanoid developer closer to trading publicly on the Nasdaq.

SPAC Merger Approval and Public Market Debut
Agility Robotics has cleared a major hurdle in its planned initial public offering as shareholders of Churchill Capital Corp XI approved the special purpose acquisition company’s proposed business combination. More than 84% of votes cast at a special shareholder meeting on November 2 supported the deal, bringing the developer closer to becoming a publicly-traded entity.
The SPAC transaction is expected to close on November 4, with the combined company beginning to trade on the Nasdaq under the ticker symbol AGLT on November 5. Churchill Capital stock finished up nearly 14% following the vote.
Capital Inflow and Funding Adjustments
The transaction is expected to provide Agility with approximately $465 million in gross capital before expenses. This funding will support commercial expansion, customer deployments, and manufacturing capacity as the enterprise works to scale its humanoid robot business.
This revised capital figure reflects a reduction from the more than $620 million anticipated when the merger was announced in June. Following the expiration of Churchill XI’s shareholder redemption deadline, the funding stack now comprises approximately $164 million from the trust account, about $201 million from a private investment in public equity financing led by Foxconn, and $100 million in equity funding received following the initial SPAC announcement. The original transaction valued Agility at a $2.5 billion pre-money equity value, with existing shareholders rolling their equity into the combined company rather than taking cash.
Commercial Deployments in Logistics and Warehouses
Agility is entering the public markets with established deployments. Its robots are currently operating in nine customer environments, with logistics and manufacturing serving as primary commercial markets.
One prominent relationship is with GXO Logistics, which began working with Agility in 2023 and signed a multi-year agreement in 2024 to deploy Digit at a facility in Flowery Branch, Georgia, working alongside existing automation to move totes onto conveyors.
In October, the companies announced an expansion to two additional GXO facilities located in Statesville, North Carolina, and Lebanon, Tennessee. Deployments are slated to begin in early 2027 using Digit 4, with plans to transition to newer hardware as it becomes commercially available.
Manufacturing Expansion and Upcoming Pilot Programs
Beyond logistics, Agility is also making strides into general manufacturing sectors. Agricultural equipment maker AGCO signed a commercial agreement in October to pilot Digit at its Hesston, Kansas, production facility starting in 2027, where initial tasks will include sorting and stacking parts.
The company has previously stated it holds more than $300 million in committed multi-year orders for the newer Digit 5, its next-generation humanoid unveiled in September featuring redesigned legs and new batteries tailored for commercial use. Early customer access is expected in the first half of 2027, with general availability targeted for the end of the year.
Production Infrastructure and Fleet Management
To support growing demand, Agility operates its RoboFab manufacturing facility in Salem, Oregon, which is designed for an annual production capacity of up to 10,000 robots. The enterprise is also actively scaling its software, deployment, and service capabilities, supported by platforms like the Agility Arc fleet-management system.
